Any products, tools, or suppliers mentioned or recommended during consultations are independent third parties. Vertex Core Tide Nexus is not responsible for your interactions with them.
3. Disclaimers and limitations of liability
This website and its content are provided "as is" without warranties of any kind, express or implied. Vertex Core Tide Nexus does not warrant the accuracy, completeness, or fitness for purpose of any content.
Advice and recommendations provided during sessions are based on information shared by the client and our professional assessment. Vertex Core Tide Nexus does not guarantee specific outcomes — results vary by project scope, household conditions, and implementation.
To the fullest extent permitted by law, Vertex Core Tide Nexus shall not be liable for any indirect, consequential, incidental, or special damages arising from the use of this website or our services.
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural events, infrastructure failures, or other circumstances outside our ability to anticipate.
In no event shall our liability exceed the amount paid for the specific service giving rise to the claim.

These terms are governed by the laws of Japan. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Japan.

Payment, cancellation and refund procedure
Where Vertex Core Tide Nexus offers paid sessions, programmes or consultations, fees are quoted in Japanese yen and may be subject to Japanese consumption tax (currently 10 percent) where applicable. Payment is due in advance unless otherwise agreed in writing. Cancellations received more than 72 hours before a scheduled session receive a full refund; cancellations between 72 and 24 hours receive a 50 percent refund or a single complimentary reschedule; cancellations under 24 hours and no-shows are non-refundable. Refunds are processed via the original payment method within 14 business days. If a refund cannot be issued via the original method (e.g., expired card), we will contact you to arrange a bank transfer to a verified Japanese account.
Limitation of liability and indemnity
To the maximum extent permitted by Japanese law, Vertex Core Tide Nexus shall not be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim arising from your use of our services shall not exceed the greater of (a) the fees paid by you to Vertex Core Tide Nexus in the six months preceding the event giving rise to the claim or (b) ten thousand Japanese yen (¥10,000). You agree to indemnify and hold harmless Vertex Core Tide Nexus and its representatives from any third-party claim arising from your breach of these Terms or your unlawful use of our services.
Account suspension, termination and data return
Vertex Core Tide Nexus reserves the right to suspend or terminate your access to paid services at our reasonable discretion where (i) you materially breach these Terms; (ii) we are required to do so by Japanese law, regulation, or court order; or (iii) continued provision would expose us or other users to material risk of harm. On termination, we will return or securely delete personal data we hold about you within a reasonable period, save for records we are legally required to retain. Termination does not affect rights or obligations accrued before the date of termination, including any outstanding payment obligations.
